Welcome to WordLoom! These Terms of Service (“Terms”) govern your use of WordLoom, an AI assistant platform for coaches and experts, operated by Luzzotica LLC (“we,” “us,” or “our”). By accessing or using WordLoom, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, please do not use our Service.

2. Description of Service

WordLoom is an AI-powered writing assistant that helps coaches and experts create articles, newsletters, social media posts, and other written content. Our Service includes both free and paid subscription tiers with varying features and usage limits.

3. Account Registration and Eligibility

To use WordLoom, you must create an account and provide accurate, complete information. You must be at least 18 years old to use our Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Subscription and Billing

4.1 Free and Paid Services

WordLoom offers both free and paid subscription plans. Free accounts have usage limitations that you can monitor through your billing page.

4.2 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel your subscription through your billing page before the renewal date.

4.3 Cancellation

You may cancel your subscription at any time through your billing page. Cancellation will take effect at the end of your current billing period.

4.4 Refund Policy

We offer a 30-day money-back guarantee for paid subscriptions. To request a refund within 30 days of your initial purchase, please contact us at support@wordloom.app.

4.5 Payment Processing

All payments are processed securely through Stripe. We do not store your payment information.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use WordLoom to create original written content for legitimate business and professional purposes consistent with the Service's intended functionality.

5.2 Prohibited Uses

You agree not to use WordLoom for any of the following prohibited activities:

• Any illegal, harmful, fraudulent, infringing, or offensive use
• Creating content that violates any applicable laws or regulations
• Developing competing services or reverse engineering our platform
• Scraping, harvesting, or collecting data from our Service
• Attempting to gain unauthorized access to our systems
• Distributing malware, viruses, or other harmful code
• Harassing, threatening, or intimidating others
• Creating content that infringes on intellectual property rights
• Engaging in any activity that could damage, disable, or impair our Service

However, by using our Service, you grant us a limited, non-exclusive, royalty-free license to use your content for the purpose of providing and improving our Service, similar to the rights granted to OpenAI for content processed through their services.

WordLoom and all related intellectual property rights remain our exclusive property. You may not copy, modify, distribute, or create derivative works based on our Service.

7. Third-Party Services

WordLoom integrates with third-party services including OpenAI, Google, LinkedIn, and others. Your use of these integrated services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

8. Service Availability

While we strive to provide reliable service, we do not guarantee that WordLoom will be available at all times. We may experience downtime for maintenance, updates, or technical issues. We reserve the right to modify, suspend, or discontinue the Service at any time.

9. Account Termination

We may suspend or terminate your account if you violate these Terms or engage in activities that harm our Service or other users. Upon account termination, your access to WordLoom will cease immediately. Account termination does not affect any data retention practices outlined in our Privacy Policy.

10. Disclaimer of Warranties

WORDLOOM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUZZOTICA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF WORDLOOM.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

12. Indemnification

You agree to indemnify and hold harmless Luzzotica LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of WordLoom, your violation of these Terms, or your violation of any rights of another party.

13. Dispute Resolution

13.1 Binding Arbitration

Any dispute arising out of or relating to these Terms or your use of WordLoom shall be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify.

13.2 Class Action Waiver

You agree that any arbitration shall be conducted in your individual capacity only and not as a class action or other representative action, and you expressly waive your right to file a class action or seek relief on a class basis.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of WordLoom after such modifications constitutes acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Utah County, Utah.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
